About these Terms

These Terms of Service (“Terms”) set out the contract between you and Cadmium Education Ltd (the “Company”, “we”, “us”, or “our”) when you purchase or use our mentorship, consultancy, portfolio development, application support, writing and research mentorship, and related services (together, the “Services”).

If you are purchasing Services for or on behalf of a person under 18 (“Minor Student”), these Terms must be accepted by a parent or legal guardian with parental responsibility (the “Parent/Guardian”), who will be the contracting party and will be responsible for payment and compliance with these Terms.

We recommend that you print or save a copy of these Terms.

Definitions

In these Terms:

  • Client / you means the person purchasing the Services. Where Services are for a Minor Student, “you” means the Parent/Guardian.

  • Student means the individual receiving the Services (who may be the Client).

  • Mentor means a mentor engaged by us (typically as an independent contractor) to deliver the Services on our behalf.

  • Session means a scheduled live mentorship session delivered online or in person.

  • Package means a bundle of Sessions and/or a defined programme of support sold for a single price.

  • One-off Service means a standalone service such as a portfolio review, critique, or proofreading/editing support.

  • Materials means any resources we provide or make available, including frameworks, teaching materials, project briefs, videos, recordings (where applicable), worksheets, prompts, templates, and learning content made available via our platform or otherwise.

  • Platform Access means access to our online learning environment and any gated materials, including via login-based systems.

Scope of Services

We provide premium, artist-led mentorship and consultancy services for applicants to art schools and creative programmes, practising artists, and career changers.

Services may include (depending on what you purchase):

  • portfolio development mentorship
  • art-school application support (including interviews and statements)
  • writing and research mentorship (guidance and feedback)
  • creative mentorship and professional development support for artists (for example applications for residencies, grants, and open calls)
  • portfolio reviews and critiques

Any proofreading or editing support is limited to feedback, suggested amendments, structural comments, and developmental guidance. We do not write assessed work, produce submissions on a client’s behalf, or provide services intended to facilitate academic misconduct.

For the avoidance of doubt, Cadmium does not create or complete artwork, portfolio pieces, or assessed work on behalf of students.

The scope, number of Sessions, timelines, deliverables (if any), and price are as set out at checkout, in your order confirmation, invoice, booking page, or written proposal (the “Order Details”). If there is a conflict between these Terms and the Order Details, the Order Details prevail for that purchase.

Nature of Services and no guaranteed outcomes

The Services are advisory, educational, and developmental in nature. We provide professional guidance and feedback, not guarantees.

We do not guarantee:

  • admission to any institution or programme

  • scholarships, awards, gallery representation, exhibitions, residencies, grants, funding, or other professional opportunities

  • any specific academic or assessment result

  • that a portfolio will be accepted or shortlisted

You remain responsible for:

  • producing your own artwork and written work

  • making your own submissions and applications

  • meeting all institutional requirements and deadlines

  • decisions made in reliance on advice or feedback provided through the Services.

Nothing in these Terms excludes or limits any consumer rights that cannot lawfully be excluded or limited.

Client responsibilities

You agree to:

  1. Provide accurate information about the Student’s goals, deadlines, needs, and constraints.

  2. Use the Services with integrity. We provide guidance and feedback; we do not provide academic misconduct services or write assessed work for students.

  3. Prepare for Sessions. If you do not provide materials in time for review (for example photographs of work or draft statements), the value of the Session may be reduced and the Session will still count as delivered.

  4. Maintain respectful conduct toward our team and Mentors, including during feedback. Harassment, abuse, discrimination, or intimidation is not permitted.

  5. Ensure suitable conditions for online Sessions, including stable internet and a quiet environment where possible.

For Minor Students, the Parent/Guardian also agrees to:

  • ensure the Minor Student understands and follows these Terms

  • remain available and contactable during scheduled Sessions unless otherwise agreed

  • promptly inform us of relevant safeguarding or medical needs that may affect delivery of the Services

  • ensure appropriate supervision of the Minor Student outside the Session and acknowledge that Cadmium provides mentorship services, not childcare or supervisory services.

  • ensure the Minor Student behaves appropriately during Sessions and does not engage in disruptive, abusive, or inappropriate behaviour toward Mentors or Cadmium staff.

Fees, payment terms, and deposits

Fees are set out in the Order Details and must be paid in accordance with the payment method and schedule presented at purchase or specified on invoice.

1. Payment timing

Unless otherwise stated, fees are payable in advance.

2. Instalment plans (when offered)

Where we agree an instalment plan in writing, the default structure is:

(a) 50% upfront to secure the Package place
(b) 25% one month later
(c) 25% one month after that

3. Deposits

Where an upfront payment is described as a “deposit”, it secures capacity and scheduling and is applied toward the total price. Deposits are non-refundable except where required by law or where we agree otherwise in writing.

4. Late payment

If any payment is overdue, we may suspend Sessions and/or Platform Access until payment is received. Continued non-payment may result in termination under these Terms.

If Services or Platform Access are suspended due to non-payment, we are not responsible for any missed deadlines, lost opportunities, or reduced quality of outcomes resulting from that suspension.

5. Taxes

Prices are stated inclusive or exclusive of VAT as described in the Order Details (if applicable).

Platform Access and account security

We may provide Platform Access so you can view Materials, follow modules, upload work, and/or access programme resources.

Materials and digital content

Any Materials or digital learning content made available through the Platform are provided for your personal educational use only. All such Materials remain the intellectual property of Cadmium Education Ltd (or its licensors) and may not be copied, shared, distributed, reproduced, or used for commercial purposes without our prior written permission.

You agree to:

  • keep login credentials confidential

  • not share accounts or allow unauthorised access

  • promptly notify us if you suspect unauthorised access

We may suspend or terminate Platform Access where we reasonably believe there has been misuse, security compromise, non-payment, or breach of these Terms.

Unless stated otherwise in the Order Details, Platform Access is granted for the duration of the Package validity period (or the stated access period), and may end when the Package ends or is terminated.

Confidentiality

1. Cadmium confidentiality

We treat your work, applications, and personal information as confidential.

2. Client confidentiality obligations

You agree to keep confidential any non-public Cadmium Materials and any non-public information you receive about our Mentors, methods, processes, or business affairs.

3. Exceptions

Confidentiality does not apply to information that:

  • is already public other than through breach of these Terms;

  • must be disclosed by law or by a competent authority; or

  • we reasonably believe must be disclosed to address safeguarding concerns or to protect a child or vulnerable person.

Intellectual property

1. Student work.

Artwork and original work created by the Student remains the Student’s intellectual property.

2. Cadmium Materials.

All Materials, methods, frameworks, and teaching resources we provide are owned by us (or our licensors) and are protected by intellectual property laws.

3. Licence to use Materials.

We grant you a limited, non-transferable, non-exclusive licence to use the Materials for your personal educational development in connection with the Services.

4. You must not:

    • copy, distribute, sell, publish, or commercially exploit the Materials;

    • share Materials with third parties; or

    • use Materials to train or improve AI models or systems, or upload Materials into third-party AI tools for that purpose, except where we give written consent.

Use of Student Work

With your permission, we may showcase examples of student work, portfolio development, testimonials, or outcomes for promotional or educational purposes (for example on our website, social media, or marketing materials). We will seek consent before using identifiable student work or testimonials.

Mentor assignment and substitution

You contract with Cadmium Education Ltd for delivery of the Services. Mentors deliver Services on our behalf, typically as independent contractors.

We may assign a Mentor based on availability, fit, expertise, and scheduling.

We may substitute a Mentor where necessary (for example due to illness, scheduling conflicts, or operational needs). Where a substitution is material, we will act reasonably to maintain quality and continuity.

You do not have a contractual relationship with any Mentor outside Cadmium Education Ltd.

Non-solicitation and tutor-poaching protection

1. Restriction on engaging Mentors outside Cadmium

To protect our legitimate business interests, including recruitment, training, quality control, and Mentor relationships, you agree that for 12 months after the later of:

  • the last Session delivered to you or the Student; or

  • the end of your Package validity period, you will not, without our prior written consent:

    • solicit, engage, employ, or contract with any Mentor; or

    • introduce any Mentor to a third party for the purpose of engaging them,

for services that are the same as or similar to the Services outside Cadmium Education Ltd.

2. Scope of restriction

This restriction applies whether the engagement is paid or unpaid, and whether it occurs directly or indirectly.

3. Consent and introduction fee

If you wish to continue working with a Mentor outside Cadmium Education Ltd, you must request our consent in writing. If we consent, we may require an introduction fee that reflects a reasonable estimate of our costs and loss, to be agreed in writing at that time.

Scheduling, Sessions, and delivery format

1. Delivery format

Services may be delivered online, in person, or as a hybrid arrangement (as agreed in the Order Details).

2. Scheduling

Sessions are scheduled by mutual agreement. We cannot guarantee specific days or times unless agreed in writing.

3. Session duration

Session duration is as stated in the Order Details or booking confirmation.

4. Late arrival

If you arrive late to a Session, we may not be able to extend the Session beyond the scheduled end time, and the Session may still be treated as delivered.

If a Cadmium Mentor arrives late, we will use reasonable efforts to ensure that the full Session time is provided, either by extending the Session or arranging a short follow-up where appropriate.

5. Technical issues

Where an online Session is materially disrupted due to our technical failure, we will use reasonable efforts to reschedule. Where disruption is due to your connectivity or equipment, the Session may still count as delivered (acting reasonably and fairly).

6. In-person Sessions

Where Sessions are delivered in person, reasonable travel costs are included in the Session price unless otherwise stated in the Order Details.

If an in-person Session is delayed or cannot take place due to travel disruption or other circumstances outside our reasonable control, we will use reasonable efforts to reschedule the Session.

Cancellation, rescheduling, and refunds

This section has two parts:

(a) statutory cancellation rights (where applicable for consumers), and
(b) Cadmium’s business cancellation/rescheduling policy for Sessions and Packages.

Statutory cancellation rights (UK consumers)

If you are a consumer and you purchase Services online or off-premises, you may have a legal right to cancel within 14 days (the “Cooling-Off Period”), subject to conditions and exceptions.

If you ask us to start providing Services before the end of the Cooling-Off Period, you may be required to pay for Services provided up to the point you cancel, and if the Services are fully performed within the Cooling-Off Period with the required acknowledgements, the right to cancel may be lost.

If we supply digital content before the end of the Cooling-Off Period, we will require the consents/acknowledgements needed for supply and for the right to cancel to be lost once supply begins.

To exercise a statutory cancellation right, please email hello@cadmiumeducation.com a clear statement that you wish to cancel and include your name, purchase details, and date of purchase.

Cadmium’s rescheduling policy (Sessions)

You may reschedule a Session with at least 24 hours’ notice.

Cancellations or reschedule requests made within 24 hours of the scheduled Session start time, and no-shows, will be charged in full and the Session will be treated as used. This helps protect Mentor time and maintain fair scheduling.

Any notice period in these Terms is calculated by reference to the scheduled Session start time stated in the booking confirmation.

We may, at our discretion, offer a reschedule or credit in exceptional circumstances. This is not guaranteed.

Refund policy (Packages and One-off Services)

Except where required by law (including any applicable 14-day statutory cancellation rights for consumers), and subject always to your statutory rights, we do not offer refunds for:

(a) completed Sessions
(b) unused Sessions within a Package
(c) One-off Services once delivered

If a Package expires (see “Package validity” below), any unused Sessions may expire unless we agree an extension in writing (at our discretion).

Nothing in this section limits any remedy you may have where we fail to provide the Services with reasonable care and skill or otherwise breach rights that cannot lawfully be excluded.

Package validity

1. Validity period

Package validity is stated at purchase. If not stated, the default validity period is 12 months from the purchase date.

2. Expiry of unused Sessions and access

After the validity period ends:

  • unused Sessions may expire and be forfeited; and

  • Platform Access may end, unless the Order Details provide otherwise.

3. Extensions

We may, but are not obliged to, grant extensions in exceptional circumstances, acting reasonably.

Recording of Sessions

1. Client prohibition

You may not record, photograph, screenshot, screen-record, or otherwise capture any Session or Materials without our prior written permission.

2. Cadmium recordings

We may occasionally record Sessions for purposes such as internal training, quality assurance, safeguarding, and/or providing a recording to you where agreed.

3. Notice and consent

Where we record a Session, we will inform participants in advance and obtain consent before recording begins. For Minor Students, we will obtain Parent/Guardian consent before any recording takes place.

4. Ownership and sharing

Any recordings made by us remain our property and must not be shared, distributed, or reproduced without our written permission.

Any recording will be handled in accordance with our Privacy Policy, including retention and access controls.

Safeguarding

Cadmium takes safeguarding seriously, particularly where Services involve students under the age of 18.

Where Services are delivered to Minor Students, Cadmium requires Mentors to comply with appropriate safeguarding standards and policies. Where applicable and eligible under UK rules, this may include holding a valid Enhanced DBS check.

Cadmium maintains a Safeguarding Policy which sets out the standards expected of Mentors and suppliers when working with minors.

Nothing in these Terms prevents Cadmium from taking any action it reasonably considers necessary to address safeguarding concerns, including suspending Services or reporting concerns to appropriate authorities where required.

Force Majeure

We are not liable for any failure or delay in performing the Services where that failure or delay is caused by events outside our reasonable control.

Such events may include (without limitation) illness, internet or platform outages, transport disruption, power failure, natural disasters, governmental actions, labour disputes, or other events that could not reasonably have been foreseen or prevented.

Where such an event affects delivery of the Services, we will use reasonable efforts to reschedule affected Sessions or otherwise provide the Services at a later time.

Limitation of liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence.

Subject to the above, and to the maximum extent permitted by law:

  1. No indirect loss. We are not liable for indirect or consequential losses, including loss of profits, loss of opportunity, loss of goodwill, or loss of data.

  2. Outcome exclusions. We are not liable for decisions made by third parties (including schools, universities, galleries, funding bodies, or competition panels), or for unsuccessful applications, auditions, interviews, or submissions.

  3. Liability cap. Our total aggregate liability to you arising out of or in connection with the Services (whether in contract, tort, negligence, misrepresentation, restitution, or otherwise) is limited to the total fees you actually paid to us for the relevant Services giving rise to the claim.

This limitation section is intended to allocate risk fairly in a premium advisory context and does not affect statutory consumer rights.

Termination

1. Termination by Cadmium

We may terminate or suspend the Services and/or Platform Access immediately by notice if:

  • you materially breach these Terms

  • you engage in abusive, threatening, discriminatory, or harassing conduct toward Cadmium staff or Mentors

  • you misuse the Platform or Materials

  • you fail to pay fees when due

If we terminate due to your breach, no refund will be due except where required by law.

2. Termination by you

You may terminate the Services by notifying us in writing. Termination does not automatically entitle you to a refund except where required by law.

3. Effect of termination

On termination, your licence to use the Materials ends and you must stop using and delete or destroy any Materials we request you to delete or destroy (except where retention is required by law).

Complaints

If you have a complaint, please contact hello@cadmiumeducation.com with details of your concern and your order information. We aim to respond within a reasonable time.

We are not obliged to participate in alternative dispute resolution (ADR) schemes and do not currently do so.

Severance

If any provision of these Terms is found by a court or competent authority to be unlawful, invalid, or unenforceable, that provision will be deemed severed from the Terms and the remaining provisions will continue in full force and effect.

No waiver

Any failure or delay by us in exercising any right or remedy under these Terms does not constitute a waiver of that right or remedy. Any waiver must be in writing and applies only to the specific circumstances for which it is given.

Notices

Any formal notice under these Terms must be given in writing.

We may send notices to you using the email address provided at purchase or used for booking or correspondence.

Notices will be deemed received when the email is sent, unless the sender receives an automated notification that the message was not delivered.

Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

If you are a business customer, the courts of England and Wales will have exclusive jurisdiction.

If you are a consumer, nothing in these Terms prevents you from relying on mandatory consumer protections or bringing proceedings where you are entitled to do so under applicable law.
